other Web site. You may not frame or alter the appearance of the
Aeos Design Web site in any way. You agree not to use the Link
Logos for any other purpose.
You agree not to alter the Link Logos in any way, or to combine
them with any other names, marks or logos.
You agree not to use the Link Logos in any manner likely to give
the impression that you are affiliated with Aeos Design or that
Aeos Design has sponsored or endorsed your Web site, products or
services.
You agree and acknowledge that this is not a trademark license
by which you are using the Link Logos to indicate the origin or
source of any product or service you offer.
You agree and acknowledge that Aeos Design is the sole owner of
all rights in the Link Logos, and that your use of the Link
Logos will inure to the benefit of Aeos Design. You agree not to
adopt, use, register, or attempt to register anywhere in the
world any logo, trademark, service mark, trade name or domain
name confusingly similar to the Link Logos. You agree that you
will not at any time contest or challenge Aeos Design rights in
the Link Logos.
AEOS DESIGN DISCLAIMS ALL WARRANTIES, EXPRESS AND IMPLIED,
REGARDING THE LINK LOGOS, INCLUDING WARRANTIES AGAINST
INFRINGEMENT. YOU AGREE TO INDEMNIFY
AEOS DESIGN FROM AND
AGAINST ANY AND ALL CLAIMS AND LIABILITIES ARISING OUT OF YOUR
USE OF THE LINK LOGOS.
Aeos Design, in its sole discretion, may terminate or modify
your permission to use the Link Logos at any time. You agree
that upon Aeos Design termination of your permission to use the
Link Logos, you will immediately cease all further use of the
Link Logos and any other similar mark, name or logo.
Aeos Design will grant qualified companies the right to use the
Aeos Design logo on their Web site, provided that the majority
of their Web site/business is run by Aeos Design products and/or
services. Aeos Design. ("Aeos Design") is pleased to grant this
permission on the following terms and conditions listed below.
LOGO USAGE TERMS AND CONDITIONS
Your company represents and warrants that it is powered by a
majority of Aeos Design products and/or services.
Aeos Design grants a non-exclusive, non-assignable, limited
trademark permission to use the Aeos Design logo only in
connection with the purpose noted above.
Unless sooner terminated by Aeos Design as provided in paragraph
5 below, this license will be in effect for a period of one year
from the date of execution and will be automatically renewed for
successive one-year terms as long as your company's Web site
continues to run on Aeos Design products and/or services.
Your company agrees that Aeos Design owns all rights in the Aeos
Design logo and that it will not contest the validity of Aeos
Design rights while or after this license is in effect.
Aeos Design, in its sole discretion, may terminate this license
immediately for any reason. Upon termination, your company shall
immediately cease all further use of the Aeos Design logo, or
any other similar mark, name or logo, including without
limitation, any name or mark comprising the term "Aeos Design."
No other usage rights or licenses are granted herein.
Aeos Design must approve all use of the Aeos Design logo prior
to use. Aeos Design also requires adherence to usage guidelines
Aeos Design may provide from time to time.
Proper attribution to Aeos Design is to be used in all
reproductions, in the following form: "Aeos Design" is a
trademark of Aeos Design.
Your company will indemnify and hold Aeos Design harmless
against any claims, actions or demands resulting from or related
to its use of the Aeos Design logo.
This agreement shall be governed by the laws of the state of
Texas and all actions relating to this agreement shall be
brought to Texas.
